How to Form an Arkansas LLC as a Non-Resident: Complete Guide for 2026

Arkansas is not usually the first state international entrepreneurs think about when forming a US LLC. States such as Wyoming, Delaware, Texas and Florida tend to get much more attention.

Still, a non-US resident can form an LLC in Arkansas without living in the United States. The bigger question is whether Arkansas actually makes sense for your business.

For an Amazon seller, e-commerce entrepreneur or online business owner living outside the US, Arkansas comes with a relatively straightforward formation process, but it also brings state income tax, franchise tax and possible sales tax obligations.

This guide explains Arkansas LLC formation for non-residents, the costs involved, annual compliance, federal tax filings and sales tax rules.

Can a Non-US Resident Form an LLC in Arkansas?

Yes. You do not need to be a US citizen or US resident to own an Arkansas LLC.

International entrepreneurs can generally form:

  • Single-member LLC

  • Multi-member LLC

  • C-Corporation

You don't need to move to Arkansas or travel to the United States just to create the company.

What you will need is a registered agent with a physical address in Arkansas. The registered agent receives official state and legal documents on behalf of your company.

This makes Arkansas accessible to entrepreneurs from Pakistan, UAE, Saudi Arabia, the UK and other countries who want to establish a US business.

Arkansas LLC Formation Requirements for Non-Residents

The basic formation process is fairly simple.

To form an Arkansas LLC, you will generally need:

  • A suitable LLC name

  • Arkansas registered agent

  • Registered office address in Arkansas

  • Articles of Organization

  • Owner/member information required during the process

  • State filing fee

  • EIN from the IRS after formation

Your registered agent must maintain a physical address in Arkansas.

You can own the LLC from outside the United States, so your own residence does not need to be in Arkansas.

Arkansas LLC Formation Cost

Arkansas is not particularly expensive to form compared with some other states.

The exact state filing cost can depend on the filing method and type of entity. You should also budget separately for your registered agent, EIN assistance and any additional services you require.

The more important cost for a long-term comparison is Arkansas's annual $150 franchise tax.

This means Arkansas has a recurring state cost even if your LLC is relatively small.

Is Arkansas a Good State for a Non-Resident LLC?

It depends on why you are choosing Arkansas.

If you actually plan to operate in Arkansas, have employees there, maintain a physical business presence or have another genuine connection with the state, forming there can make sense.

For a non-resident running a completely remote e-commerce business, Arkansas is harder to recommend purely for tax or compliance advantages.

Arkansas has:

  • State income tax

  • $150 annual LLC franchise tax

  • Sales and use tax

  • Local sales taxes

  • Possible state tax obligations for Arkansas-sourced income

Compare that with Arizona, for example, where LLCs do not have a standard annual report requirement. South Dakota has no individual state income tax, while Nevada also has no individual state income tax but carries considerably higher recurring LLC fees.

So Arkansas is not necessarily a bad place to form an LLC. It simply doesn't offer the same obvious attraction for a foreign entrepreneur choosing a state without any existing connection to it.

For someone choosing between the two purely for a remote LLC, Arizona has a clear advantage when it comes to standard annual LLC maintenance costs.

Arkansas, on the other hand, has the $150 annual franchise tax. Arizona avoids a standard LLC annual report, although its TPT system can become another compliance consideration for e-commerce sellers.

Arkansas Annual Franchise Tax Report

This is one of the main Arkansas-specific requirements you should know before forming the LLC.

Arkansas LLCs generally have to file an Annual Franchise Tax Report and pay a $150 franchise tax.

The annual deadline is generally: May 1

The $150 obligation is important because it isn't based simply on whether your business made a large profit.

If you form an Arkansas LLC and then forget about the annual state requirement, you can create unnecessary compliance problems for the company.

For a non-resident owner managing the company remotely, adding the May 1 deadline to your annual compliance calendar is a simple way of avoiding this problem.

Does Arkansas Have State Income Tax?

Yes.

This is one of the major differences between Arkansas and states such as Texas, Nevada, South Dakota and Alaska.

A non-resident can potentially become subject to Arkansas income tax when income is sourced to Arkansas.

Depending on the LLC structure and circumstances, there can also be withholding or composite-return considerations involving non-resident members.

Simply forming an LLC in Arkansas does not mean that every dollar your worldwide business earns automatically becomes Arkansas taxable income. State sourcing and nexus matter.

This distinction is especially important for international e-commerce entrepreneurs who may own an Arkansas LLC while actually operating their business from another country.

Arkansas LLC Federal Tax Requirements for Foreign Owners

State formation and federal taxation are two separate matters.

Creating your company in Arkansas does not remove your IRS filing responsibilities.

The federal filing requirement depends heavily on how the LLC is owned and taxed.

Foreign-Owned Single-Member LLC

A foreign-owned US single-member LLC treated as a disregarded entity can have Form 5472 together with a pro forma Form 1120 filing requirements when it has reportable transactions.

This is one of the most important compliance areas for foreign LLC owners because the starting penalty for failure to properly file Form 5472 can be $25,000.

Depending on the owner's activities and US tax position, Form 1040-NR may also be required.

Do not assume that owning a US LLC automatically means you owe a flat 30% tax on all LLC revenue. US federal taxation for a non-resident depends on factors such as the type and source of income and whether the income is effectively connected with a US trade or business.

Multi-Member LLC

A multi-member LLC is generally treated as a partnership for federal tax purposes unless another tax classification is elected.

This can bring filings such as:

  • Form 1065

  • Schedule K-1 for each partner

  • Form 1040-NR for foreign partners where applicable

  • Additional withholding or reporting requirements depending on the situation

Can a Non-Resident Use an S-Corporation?

A non-resident alien generally cannot be a shareholder of an S-Corporation.

For many foreign entrepreneurs, the practical choices therefore remain a foreign-owned LLC structure or C-Corporation, depending on the business.

Arkansas Sales Tax for E-commerce Businesses

Arkansas has a 6.5% state sales tax, and local taxes can push the total rate considerably higher depending on the location.

For e-commerce sellers, the important question is not simply whether your LLC was formed in Arkansas.

The real question is whether your business has sales tax nexus in Arkansas.

Nexus can arise through physical business activities and, for remote sellers, through economic nexus rules.

Arkansas's remote-seller economic nexus threshold is generally based on more than $100,000 of sales into Arkansas during the current or previous calendar year.

Marketplace sellers also need to separate their own sales tax obligations from sales made through marketplace facilitators such as Amazon, where the marketplace may be responsible for collecting and remitting tax on marketplace transactions.

Arkansas Sales Tax Filing

If your business is required to register and file Arkansas sales tax returns, filings can generally be managed through the Arkansas Taxpayer Access Point (ATAP).

Your filing frequency may be:

  • Monthly

  • Quarterly

  • Annually

The frequency assigned to your business depends on its circumstances and tax liability.

A typical sales tax return can include information such as:

  • Gross sales

  • Taxable sales

  • Exempt sales

  • Sales tax collected

  • Applicable local sales information

Because Arkansas has local sales taxes in addition to its 6.5% state rate, keeping proper location-based sales records becomes important.

For Amazon sellers, also keep your marketplace reports because Amazon-collected sales tax should not simply be treated in the same way as tax collected directly through your own website.

Arkansas LLC Compliance Checklist for Non-Residents

Once your LLC is active, your compliance can involve several different agencies rather than one single annual filing.

A basic checklist can include:

Requirement

When It May Apply

Arkansas Annual Franchise Tax Report

Generally every year

$150 Arkansas Franchise Tax

Generally every year

Registered Agent

Must remain active

Form 5472 + pro forma Form 1120

Certain foreign-owned single-member LLCs

Form 1040-NR

When applicable to foreign owner

Form 1065

Generally for partnership-taxed LLCs

Arkansas income tax filing

If applicable

Arkansas sales tax return

If registered/required

Local/business licenses

Depending on business activity

The exact filings depend on how the LLC is owned, where the business is actually operated, what type of income it earns and whether it has nexus in Arkansas.

Documents to Keep for Your Arkansas LLC

Good record keeping makes annual filing much easier.

Keep digital copies of:

  • Articles of Organization

  • EIN confirmation

  • Operating Agreement

  • Registered agent information

  • Previous Franchise Tax Reports

  • Business bank statements

  • Amazon settlement and transaction reports

  • Shopify or other e-commerce platform reports

  • Sales records

  • Expense records

  • Invoices and receipts

  • Sales tax records

  • Resale or exemption certificates

  • Previous federal and state tax returns

For a foreign-owned LLC, also keep a proper record of money transferred between the owner and the LLC. These transactions can become particularly important when preparing Form 5472.

Arkansas LLC for Amazon Sellers

You can use an Arkansas LLC for an Amazon business.

Still, there is nothing about having an Arkansas LLC itself that gives your Amazon seller account a special advantage.

Amazon will care much more about consistency across your business information, identity documents, addresses, banking details, tax information and other verification records.

If you are an international Amazon seller choosing a state from scratch, compare Arkansas with other available states based on your actual business model rather than forming there simply because the initial filing cost looks affordable.

The $150 annual franchise tax, state income tax exposure and sales tax environment should be part of that decision.

Should You Form an LLC in Arkansas?

Arkansas can work perfectly well if you have a genuine business reason for choosing the state.

For a non-resident entrepreneur who has no physical presence in Arkansas and simply wants a US LLC for Amazon, Shopify, e-commerce or another online business, there are other states worth comparing before making the decision.

For example, South Dakota can be interesting because of its lack of individual state income tax and relatively low recurring LLC costs. Arizona avoids a standard LLC annual report. Texas has no individual state income tax but brings its own franchise-tax reporting system. Nevada provides another no-individual-income-tax option but has much higher recurring LLC fees.

There isn't one state that is automatically best for every foreign entrepreneur.

The right choice depends on where you operate, where you have nexus, whether you need a physical US presence, your expected revenue, your business type and your long-term plans.
