How to Form a Georgia LLC as a Non-Resident: Complete Guide for 2026

Georgia can be a good place to run a business, especially if you want access to a large US market or expect to build a physical operation in the state.
For a non-resident Amazon or e-commerce seller choosing a US LLC from scratch, the decision needs a bit more thought.
Georgia has a state income tax, an annual LLC registration requirement, sales tax, local sales-tax rates and possible withholding requirements where an LLC has nonresident members receiving Georgia-source income.
At the same time, the basic LLC costs are not too high. A domestic Georgia LLC currently costs $110 to form, and the Annual Registration costs $60 per year.
So Georgia is not an expensive state in the same way as California or Tennessee. The bigger question is whether you actually have enough connection with Georgia to justify choosing it for your business.
This guide covers Georgia LLC formation for non-residents, annual compliance, state and federal tax filing, nonresident-member rules, sales tax, and the main things Amazon and e-commerce sellers should know.
Can a Non-Resident Form a Georgia LLC?
Yes.
You do not need to be a US citizen or Georgia resident to own a Georgia LLC.
An entrepreneur living in Pakistan, UAE, Saudi Arabia, the UK or another country can generally establish and own the company while continuing to live outside the United States.
Common business structures include:
Single-member LLC
Multi-member LLC
C-Corporation
The structure you choose depends on how many people own the business, how you want it taxed and what you plan to do with the company later.
For many small online businesses, a normal LLC can be enough.
Georgia LLC Formation Requirements for Non-Residents
The formation process itself is fairly simple.
1. Choose Your Georgia LLC Name
Your company needs an available name that follows Georgia's naming requirements.
Once you start operating, try to keep the same legal business information across your:
LLC documents
EIN
Bank account
Amazon account
Payment processors
Tax registrations
For international sellers, mismatched information between different business accounts can create unnecessary verification problems.
2. Appoint a Georgia Registered Agent
A Georgia LLC must maintain a registered agent in the state.
The registered agent receives official correspondence and legal documents for your company.
Georgia requires the registered agent to have a physical street address in the state.
If you are living outside the United States, you will normally arrange a registered-agent service.
The registered-agent address should not automatically be treated as your normal business operating address. Banks, Amazon and payment processors can have their own address rules.
3. File Articles of Organization
To create a domestic Georgia LLC, you file Articles of Organization with the Georgia Secretary of State.
The current total filing cost is: $110
This consists of:
$100 filing fee
$10 service charge
Once the filing is approved, the Secretary of State issues a Certificate of Organization.
4. Obtain an EIN
After the LLC has been created, you will normally need an Employer Identification Number from the IRS.
An EIN is commonly required for:
US business banking
Federal tax filing
Amazon seller accounts
Payment processors
Payroll, if applicable
Other business purposes
You do not need to be a US citizen to obtain an EIN.
5. Prepare an Operating Agreement
An Operating Agreement explains how your LLC is owned and managed.
For a single-member LLC, it helps document who owns and controls the business.
For a multi-member LLC, it can cover:
Ownership percentages
Responsibilities
Voting rights
Profit distribution
Management powers
What happens if someone leaves the company
How Much Does It Cost to Form a Georgia LLC?
The current Georgia LLC formation cost is $110.
Your complete setup can cost more if you need:
Registered-agent service
US business address
EIN assistance
Banking assistance
Tax preparation
Sales-tax registration
Business licenses
Amazon setup support
There is also an ongoing yearly cost.
A Georgia LLC currently pays $60 to file its Annual Registration.
This puts Georgia somewhere in the middle.
It is not one of the cheapest LLC states we have covered, but it is also nowhere near California's $800 annual tax or Tennessee's much higher annual report and business-tax structure.
Georgia LLC Annual Registration
Every Georgia LLC needs to file an Annual Registration.
The filing period is:
January 1 through April 1
The current fee is: $60 per year
The first Annual Registration is due between January 1 and April 1 of the year following the calendar year in which the LLC was formed.
Georgia also allows you to file the Annual Registration for up to three calendar years in advance.
The Annual Registration keeps information such as your registered agent and principal office address current.
What Happens If You Miss It?
Georgia currently charges a $25 late filing penalty for the Annual Registration.
If required registrations remain unfiled, the LLC can eventually be administratively dissolved.
So the Annual Registration is a small filing, but you should not ignore it.
Does Georgia Have State Income Tax?
Yes.
Georgia has state income tax.
For 2026, Georgia's individual income-tax rate has been reduced to a flat 4.99%.
A nonresident who works in Georgia or receives income from Georgia sources and meets the applicable filing requirements can have a Georgia income-tax return requirement.
Georgia specifically lists income from flow-through entities such as:
LLCs
Partnerships
S corporations
Trusts
Estates
as examples of Georgia-source income for a nonresident.
This does not mean all income earned by a foreign owner becomes Georgia taxable income simply because the LLC was formed there.
The source of income and actual business activity matter.
Georgia Nonresident Withholding for LLC Members
This is an important area for a multi-member LLC with foreign owners.
Georgia has a G-7NRW Nonresident Withholding Return for partnerships, S corporations and LLCs that need to pay withholding on a nonresident member's share of taxable income sourced to Georgia.
So if your LLC earns Georgia-source income and has nonresident members, there can be additional state-level administration.
Withholding and filing treatment depends on the entity, Georgia-source income and the current tax rules that apply to the owner.
For a single-member foreign-owned disregarded LLC, the situation can also be different from a partnership-taxed LLC with several foreign members.
Georgia Pass-Through Entity Tax Election
Georgia also allows eligible S corporations and partnerships to elect to pay Georgia income tax at the entity level.
The election is made annually and is irrevocable for that particular taxable year once properly made.
This is not something every LLC automatically has to do.
It is an option that can become relevant depending on how the LLC is classified and the tax situation of its owners.
Georgia Corporate Income and Net Worth Tax
If you are forming a C-Corporation or your LLC elects corporate taxation, Georgia's corporate tax rules become more important.
Georgia imposes corporate income tax on corporations that own property, do business in Georgia or receive income from Georgia sources.
Corporations can also face a net worth tax, depending on their net worth.
This is one reason why a non-resident should not treat an LLC and a C-Corporation as interchangeable choices.
The legal structure and tax structure can lead to very different state and federal filing requirements.
Federal Tax Requirements for a Foreign-Owned Georgia LLC
Georgia tax and US federal tax are two separate areas.
A foreign-owned LLC can have IRS reporting obligations even when it does not owe much Georgia tax.
Foreign-Owned Single-Member LLC
A foreign-owned single-member US LLC treated as a disregarded entity can have federal reporting requirements involving:
Form 5472
Pro forma Form 1120
when the applicable IRS reporting conditions are met.
Failure to properly file Form 5472 when required can result in a large penalty.
Federal tax depends on the type of income, where it is sourced, whether it is effectively connected with a US trade or business and other facts.
Form 1040-NR
A foreign individual may need Form 1040-NR depending on their US tax position.
Simply owning a Georgia LLC does not automatically mean every foreign owner files the same federal tax return.
Multi-Member LLC
A domestic multi-member LLC is generally treated as a partnership for federal tax purposes unless another valid tax classification is selected.
That can involve:
Form 1065
Schedule K-1
Foreign-partner reporting
Possible withholding requirements
Can a Non-Resident Elect S-Corp Status?
A nonresident alien generally cannot be a shareholder of an S-Corporation.
So a foreign entrepreneur should not assume that an S-Corp election will automatically be available after forming a Georgia LLC.
Georgia Sales Tax for E-Commerce Businesses
Georgia's general state sales and use tax rate is: 4%
Local taxes are added on top of the state rate, which means the final rate depends on where the sale takes place.
For example, Georgia's current rate charts show many jurisdictions with combined rates around 7%, 8% or 9%, depending on the county and applicable local taxes.
For an Amazon or e-commerce seller, the main question is whether your business has Georgia sales-tax nexus.
Georgia Economic Nexus for Remote Sellers
A business does not need a physical office in Georgia before sales-tax obligations can become relevant.
Georgia has economic nexus rules for remote sellers, and its Department of Revenue directs out-of-state sellers to the state's remote-seller guidance when determining whether registration is required.
The commonly applicable remote-seller threshold is based on more than $100,000 in Georgia sales under the state's economic-nexus rules.
Physical presence can create nexus separately.
For an Amazon FBA business, inventory located in Georgia can therefore become important even if your direct Georgia sales are below the remote-seller threshold.
Georgia Sales Tax Filing
Georgia sales and use tax is filed through the Georgia Tax Center.
Depending on the business, filing can be assigned on different schedules.
When preparing your sales-tax records, keep:
Gross sales
Georgia sales
Taxable sales
Exempt sales
Marketplace sales
Direct website sales
Sales tax collected
Resale transactions
Sales by jurisdiction
Previous returns
Georgia has local sales-tax rates, so keeping accurate customer-location information is useful.
Amazon Marketplace Sales in Georgia
Georgia has marketplace-facilitator rules.
That means Amazon can be responsible for collecting and remitting Georgia sales tax on qualifying marketplace transactions.
This does not mean every Georgia tax responsibility disappears.
You may still need to consider:
Shopify sales
Your own website
Wholesale transactions
Other marketplaces
Georgia inventory
Employees
Other physical presence
For an e-commerce business using several sales channels, marketplace sales and direct sales should be reviewed separately.
Georgia LLC vs Alabama LLC for Non-Resident E-Commerce Sellers
Georgia and Alabama are neighboring southern states, so this is a much more natural comparison than putting Georgia against one of the usual low-tax LLC states.
Both allow non-resident ownership and both can create state income-tax obligations when a foreign owner has income sourced to the state.
Their entity-maintenance systems are quite different.
Feature | Georgia LLC | Alabama LLC |
Non-Resident Ownership | Allowed | Allowed |
Domestic LLC Formation Cost | $110 total | $200 |
Annual Secretary of State LLC Filing | Annual Registration required | No separate annual SOS report for ordinary LLCs |
Annual Entity Filing Fee | $60 | No ordinary LLC annual SOS report fee |
Individual State Income Tax | Yes | Yes |
Nonresident Owner Rules | Georgia-source income and withholding can apply | Alabama-source income and pass-through rules can apply |
Business-Level Tax | No simple fixed LLC franchise tax | Business Privilege Tax can apply, subject to current exemption rules |
General State Sales Tax | 4% plus local taxes | 4% plus local taxes |
Remote Seller Economic Nexus | Generally based on $100,000 Georgia sales | More than $250,000 in qualifying Alabama retail sales |
Special Remote-Seller System | Normal Georgia sales-tax registration structure | Alabama offers SSUT for eligible remote sellers |
Basic LLC Maintenance | $60 Annual Registration | No separate ordinary LLC annual report, but tax compliance can apply |
Main Advantage | Lower formation cost than Alabama | No normal Secretary of State annual LLC report |
Main Point to Consider | State income tax, withholding and annual registration | State income tax, Business Privilege Tax and Alabama sales-tax rules |
Georgia currently charges $110 to form an LLC and $60 per year for Annual Registration.
Alabama currently charges $200 for domestic LLC formation. Ordinary Alabama LLCs no longer file a separate Secretary of State Annual Report, and businesses whose calculated Business Privilege Tax is $100 or less can qualify for the current full exemption.
Which Is Better: Georgia or Alabama?
For the basic company setup, Georgia is cheaper.
You are looking at $110 for Georgia compared with $200 for an Alabama domestic LLC.
Georgia then adds its $60 Annual Registration every year.
Alabama does not have the same ordinary LLC Secretary of State annual report, but the Business Privilege Tax rules still need to be checked.
For a remote e-commerce seller, another interesting difference is the sales-tax threshold.
Georgia's remote-seller threshold is much lower than Alabama's $250,000 small-seller exception.
So neither state is automatically better.
If your operation is genuinely based in Georgia, paying a $60 Annual Registration is not a major reason to avoid the state.
If your business has no connection with Georgia or Alabama at all, it makes sense to compare both with Arizona, Colorado, South Dakota and the other states we have already covered before deciding.
Common Mistakes Non-Residents Make With Georgia LLCs
Using the Old $50 Annual Registration Figure
Georgia's current LLC Annual Registration cost is $60, including the applicable service charge.
The LLC Formation Cost
The current Georgia filing structure makes the total standard filing cost $110 when the service charge is included.
Thinking Every Foreign Owner Automatically Has 4% Withheld
Georgia does have nonresident withholding rules for LLCs, partnerships and S corporations with Georgia-source taxable income.
The actual current treatment should be based on the owner's circumstances rather than treating 4% as a universal number.
Ignoring Georgia-Source Income
Nonresidents can have Georgia filing obligations when they receive Georgia-source income, including income flowing through an LLC.
Looking Only at the 4% State Sales Tax
Georgia adds local sales taxes to the 4% state rate.
The actual combined rate depends on the location of the sale.
Assuming Amazon Handles Everything
Amazon may collect and remit marketplace sales tax, but that does not automatically cover your direct sales, Georgia income-tax obligations, nonresident withholding or annual LLC registration.
Georgia LLC for Amazon Sellers
A Georgia LLC can be used as the legal entity behind an Amazon business.
There is no special problem with using Georgia if it fits your business.
An Amazon seller may need to manage:
EIN
Business banking
Amazon verification
Annual Registration
Georgia income-tax filing
Nonresident withholding where applicable
Sales-tax registration
Federal tax filing
Bookkeeping
Inventory records
Registered-agent requirements
Amazon FBA can also store products outside Georgia.
That means your sales-tax obligations can extend into other states even though your LLC itself was formed in Georgia.
What Documents Should You Keep for Your Georgia LLC?
Keep your business documents organized from the start.
Useful records include:
Articles of Organization
Certificate of Organization
EIN confirmation
Operating Agreement
Registered-agent details
Annual Registrations
Georgia income-tax filings
Nonresident withholding records
Sales-tax registration
Sales-tax returns
Amazon settlement reports
Shopify or other website reports
Payment processor statements
Bank statements
Expense records
Federal tax returns
Payroll records, if applicable
Business licenses and permits
For a foreign-owned single-member LLC, also maintain a clear record of money transferred between the foreign owner and the company.

Final Thoughts
Georgia is not one of the cheapest US LLC states, but its basic company costs are still quite reasonable.
The current numbers are:
$110 standard LLC formation cost
$60 Annual Registration
January 1 to April 1 annual filing period
4% state sales tax plus local taxes
4.99% individual Georgia income-tax rate for 2026
For a foreign owner, the more important part is understanding Georgia-source income and the nonresident-member rules.
If your LLC actually does business in Georgia and has nonresident members, withholding and state tax filings can become part of your normal compliance.
If you are simply sitting in Pakistan or another country and looking for a US LLC with no particular Georgia connection, there is no reason to choose Georgia automatically.
You now have states such as Alabama, Arizona, Arkansas, Colorado, Connecticut, California, South Dakota, Texas and others to compare it with.
Look at formation cost, annual maintenance, tax exposure, sales-tax nexus, privacy, where your inventory will sit and where you actually plan to operate.
The right state is the one that matches the business you are building.
If Georgia fits your plans and you need help with LLC formation, EIN, banking, Amazon setup or tax compliance, ReinstaFix can help you get started.
